Vendor Terms

Effective Date: May 12, 2026 These Vendor Terms and Conditions ("Terms") govern the relationship between Sandeshbot (the "Company") and any individual or entity acting as a Vendor, Reseller, or Service Provider (the "Vendor"). By partnering with Sandeshbot, the Vendor agrees to the following: 1. Scope of Partnership The Vendor is authorized to promote, resell, or provide integration services for Sandeshbot WhatsApp Cloud API solutions. This partnership is on a non-exclusive basis. 2. Ethical Marketing & Branding Brand Integrity: Vendors must use official WapiBotix logos and marketing materials. Any modification to branding must be approved in writing. Prohibited Claims: Vendors shall not make false promises regarding "Guaranteed Green Tick" or "Unlimited Spamming" as these are subject to Meta’s internal policies. Standalone Entity: The Vendor must represent Sandeshbotas an independent platform and shall not misrepresent its ownership or corporate structure. 3. Compliance with Meta Policies Vendors must ensure that the clients they onboard strictly adhere to Meta’s Business Terms and WhatsApp Commerce Policy. Any vendor found facilitating clients involved in prohibited niches (e.g., adult content, gambling, drugs) will have their partner account terminated immediately. 4. Billing & Financial Transparency Meta Charges: Vendors must clearly inform clients that Sandeshbot operates on a 0% Markup model for Meta Conversation Charges. Clients must link their own card to Meta. Commission/Fees: Vendor commissions or service fees are governed by the specific "Partner Agreement" signed during onboarding. No Hidden Fees: Vendors are prohibited from charging clients "hidden maintenance fees" in the name of Sandeshbot. 5. Data Privacy & Confidentiality Vendors may have access to client leads or technical configurations. This data is strictly confidential. Selling client data to third parties is a breach of contract and will lead to legal action under Indian Cyber Laws. 6. Technical Support Responsibility Level 1 Support: Vendors are expected to provide basic first-level support to their onboarded clients. Level 2 Support: Sandeshbot technical team at iStart Nest, Kota will handle backend API or platform-level issues. 7. Termination of Partnership Sandeshbot reserves the right to terminate a Vendor’s access if: The Vendor misuses the WapiBotix API or Platform. The Vendor damages the brand reputation through unethical sales tactics. There is a breach of confidentiality or non-payment of platform dues. 8. Jurisdiction All legal disputes related to this Vendor agreement shall be subject to the exclusive jurisdiction of the courts in Kota, Rajasthan.
